What is happening?

In July 2024, it was announced that Johnson Controls had entered into a definitive agreement to sell the Residential & Light Commercial (R&LC) business to Bosch Group, a leading European provider of energyefficient heating, cooling, well-being and process heat solutions.

The sale of the Residential & Light Commercial (R&LC) business is the next step in Johnson Control’s longterm strategy to simplify and standardize our portfolio to become the leader in commercial building solutions, with best-in-class products, digitally enabled building solutions and proactive service capabilities that advance smart, healthy, safe and sustainable buildings for our customers worldwide.

To prepare for this transition, effective as of on or about 1st May 2025, Johnson Controls is assigning its rights and obligations under your agreements with Johnson Controls related to the R&LC business to JC Residential and Light Commercial LLC. The details of this entity are provided below:

Please note that this change does not affect our bank account details. All existing payment arrangements remain unchanged, and you should continue to use the same bank account information for any transactions with us.

What does this mean for you?

This letter is to give you notice of the proposed transition pursuant to the terms of the agreement in effect between you and Johnson Controls, Inc. and/or its affiliates (“agreement”) and any assignment, transfer or deemed assignment or transfer to JC Residential and Light Commercial LLC, for all purposes,(2)acknowledgment that the consummation of the proposed transaction does not constitute a default or failure to perform, fulfill or comply with any obligation of Johnson Controls, (3) waiver of any right of notice,termination, acceleration or any similar rights you may have pursuant to the Agreement in connection with such assignment or transfer or that may arise as a result of the proposed transaction, (4) acknowledgment that this letter satisfies any provision of the Agreement requiring notice of, or delivery of any materials or information in connection with, the proposed transaction or any assignment, transfer or deemed assignment or transfer and (5) agreement and acknowledgment that the Agreement will remain in full force and effect following the closing date.

Note: if you acquire products and services from JC Residential and Light Commercial LLC using terms and conditions from the Agreement, such action will constitute your consent to the adjusted terms referenced above
